These Terms of Service and End User License Agreement (the “Terms”) form a binding agreement between you and MikeroManage Software LLC (“MikeroManage,” “we,” “us,” or “our”) governing access to and use of the MikeroManage mobile application, websites, administrative dashboards, organization workspaces, and related software and services (collectively, the “Services”).
Please read these Terms carefully. By creating or using an account, accessing an organization workspace, downloading or using the application, clicking an acceptance control, or otherwise using the Services, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not access or use the Services.
If you use the Services for an organization or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes both you and that entity.
1. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract to use the Services. The Services are not offered to persons under 18. By using the Services, you represent and warrant that you satisfy these requirements.
You may not use the Services if you are barred from doing so under applicable law, subject to sanctions or trade restrictions that prohibit access, or previously removed for a material violation unless MikeroManage gives written permission.
2. The Services
MikeroManage provides software for eligible organizations and their authorized users. Depending on subscription, role, configuration, and availability, features may include:
- organization onboarding, member management, roles, permissions, invitations, and administrative controls;
- study-session tracking, attendance verification, approved-location or Wi-Fi validation, progress reporting, leaderboards, reminders, and analytics;
- messaging, message groups, reactions, reports, blocking, images, and notifications;
- projects, tasks, assignments, comments, attachments, submissions, review workflows, drafting, and table tools;
- events, attendance, location settings, announcements, party lists, guest check-in, and dress-code settings;
- recruitment profiles, events, ratings, notes, status workflows, and organization decisions;
- voting, polls, elections, governance permissions, participation, and results;
- MemoryVault or gallery photos, captions, organization albums, content review, and moderation;
- alumni profiles, directories, organization conversion requests, and connection features;
- sober-monitor assignments, check-ins, ride-home or medical-help requests, safety reports, and administrative resolution;
- designated-driver ride requests, driver assignment, route and location coordination, status updates, and Live Activities;
- billing, trials, subscriptions, invoices, payment-method management, and organization access controls; and
- reports, exports, company administration, service security, support, and other features introduced from time to time.
Not every feature is available to every user. Organizations and administrators may enable, limit, modify, or remove access based on role, subscription, policy, or operational needs. Descriptions, screenshots, marketing materials, and roadmaps are illustrative and do not guarantee that a feature will remain available.
3. Organization Accounts and Administrative Authority
An organization may control its workspace and the accounts, records, settings, and content within it. Organization owners and administrators may, subject to their permissions:
- invite, activate, suspend, convert, or remove users;
- assign roles, safety responsibilities, driver status, and feature access;
- review, modify, export, or delete organization records;
- establish study requirements, attendance rules, approved networks and locations, report recipients, voting permissions, and content settings;
- review user activity, reports, submissions, recruitment information, event information, and organization analytics; and
- take organization-level action based on its own policies.
MikeroManage is not responsible for an organization’s internal rules, membership decisions, discipline, academic expectations, elections, recruitment decisions, event admissions, safety assignments, or other actions taken by authorized users. Organizations are independently responsible for ensuring that their use is lawful, fair, appropriately disclosed, and authorized.
If you believe an administrator acted improperly, first contact the organization unless the issue concerns immediate safety, unlawful conduct, or MikeroManage itself.
4. Account Registration and Security
You agree to provide accurate, current, and complete information; maintain only accounts you are authorized to use; keep credentials confidential; and promptly update information that changes. You may not share credentials, impersonate another person, create an account for an unauthorized person, or circumvent authentication or access controls.
You are responsible for activity occurring through your account to the extent permitted by law. Notify support@mikeromanage.net immediately if you suspect unauthorized access. We may require multifactor verification, credential changes, identity confirmation, or other protective steps.
We may reject a registration, require organization approval, consolidate duplicate accounts, correct obvious errors, or suspend access while investigating suspected misuse or security concerns.
5. License to the Application
Subject to these Terms, MikeroManage grants you a limited, personal, revocable, nonexclusive, non-sublicensable, and nontransferable license to install and use the mobile application on devices you own or control solely to access the Services for their intended purposes and in accordance with applicable platform usage rules. The application is licensed, not sold.
No right is granted to source code, systems, nonpublic interfaces, documentation, data models, or other proprietary materials except as expressly stated. MikeroManage and its licensors reserve all rights not expressly granted.
You may not copy, distribute, sell, rent, lease, sublicense, modify, create derivative works from, publicly display, reverse engineer, decompile, disassemble, attempt to discover source code, bypass technical restrictions, or exploit the application except where applicable law expressly prohibits that restriction.
6. Apple App Store Terms
If you obtain the application through Apple’s App Store:
- these Terms are between you and MikeroManage, not Apple, and MikeroManage is solely responsible for the application and its content;
- your license is limited to use on Apple-branded products you own or control as permitted by the Apple Media Services Terms and applicable Usage Rules, including permitted Family Sharing or volume-purchase access;
- MikeroManage, not Apple, is responsible for maintenance and support, and Apple has no obligation to provide maintenance or support;
- to the extent any warranty cannot lawfully be disclaimed, you may notify Apple if the application fails to conform to that warranty, and Apple may refund any purchase price paid for the application; Apple has no other warranty obligation to the maximum extent permitted by law;
- MikeroManage, not Apple, is responsible for addressing claims relating to the application, including product-liability, regulatory, consumer-protection, and privacy claims;
- MikeroManage, not Apple, is responsible for investigating and resolving third-party intellectual-property claims relating to the application;
- you represent that you are not located in a country subject to a U.S. Government embargo or designated as supporting terrorism and are not listed on a U.S. Government restricted-party list;
- you must comply with applicable third-party terms, including wireless-data and platform terms; and
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you upon your acceptance.
Nothing in this section conflicts with mandatory rights under applicable law or Apple’s applicable rules.
7. Updates and Device Requirements
The Services may require a compatible device, internet access, operating-system version, notification permission, location permission, or third-party account. You are responsible for devices, connectivity, carrier charges, and third-party terms.
We may provide patches, updates, upgrades, replacements, or modified versions. Updates may install automatically where permitted by settings and platform rules. Continued use may require installation of an update. An update may change, add, or remove functionality.
8. Acceptable Use
You may use the Services only for lawful organization-management and collaboration purposes consistent with these Terms. You agree not to:
- violate law, regulation, court order, contractual duty, or another person’s rights;
- harass, threaten, stalk, exploit, discriminate against, defame, intimidate, or endanger another person;
- upload or distribute unlawful, fraudulent, obscene, sexually exploitative, hateful, violent, invasive, or infringing content;
- collect, expose, or misuse personal information without authorization;
- submit false safety reports, false ride requests, fraudulent attendance, fabricated study activity, manipulated votes, misleading recruitment records, or deceptive account information;
- impersonate a user, administrator, driver, safety monitor, organization, or MikeroManage representative;
- access another account, workspace, group, file, report, or feature without authorization;
- probe, scan, test, disrupt, overload, damage, interfere with, or circumvent the Services or related safeguards;
- use automated tools to scrape, harvest, copy, monitor, or interact with the Services without written authorization;
- introduce malware, harmful code, credential theft, spam, flooding, or abusive traffic;
- reverse engineer or use the Services to create a competing product except as permitted by nonwaivable law;
- remove proprietary notices or misrepresent ownership or affiliation;
- use information obtained through the Services for unsolicited marketing, surveillance, discrimination, retaliation, hazing, or unlawful eligibility decisions;
- share exported reports, safety data, private messages, recruitment notes, or location data with unauthorized persons;
- use the Services to facilitate illegal alcohol distribution, drug activity, assault, hazing, impaired driving, or other dangerous conduct; or
- encourage, assist, or attempt any prohibited activity.
9. Study, Attendance, and Integrity Features
Study and attendance tools provide operational records based on submitted and observed status information. They are not infallible. Connectivity, device settings, location accuracy, Wi-Fi configuration, delayed updates, permissions, and administrative changes may affect results.
A disconnect, location result, network result, compliance status, leaderboard, or automated flag is not conclusive proof of attendance, misconduct, academic performance, or dishonesty. Organizations must review relevant context and provide any process required by their policies or law before imposing consequences.
You may not falsify or manipulate sessions, location, approved-network information, elapsed time, heartbeats, check-ins, or adjustments. Administrators may correct records, document adjustments, set exemptions, and investigate irregularities.
MikeroManage is not an educational institution, proctoring service, or academic adviser and does not guarantee grades, eligibility, academic standing, or compliance with institution rules.
10. Events, Party Lists, and Age Information
Event and party-list tools are organizational aids and do not replace venue security, identity checks, age verification, capacity controls, permits, trained staff, or compliance with alcohol and event laws.
Any birthday or age-related status displayed by the Services depends on information entered by users or organizations and is not government-issued proof of age. Organizations remain responsible for lawful admission, alcohol service, supervision, transportation, and event safety. MikeroManage does not sponsor, host, control, or assume responsibility for an organization’s event.
11. Designated-Driver and Safety Features
Designated-driver, sober-monitor, ride-home, safety-report, check-in, emergency, and medical-help features are communication and coordination tools. They are not 911, emergency dispatch, ambulance, medical care, professional security, a transportation network company, taxi service, or guarantee of assistance or transportation.
If there is an emergency or immediate risk, call 911 or the appropriate local emergency service. Do not rely on the Services as the sole means of obtaining urgent help.
Drivers and organizations are solely responsible for driver eligibility, licensing, insurance, sobriety, vehicle condition, lawful operation, supervision, routing, passenger safety, and compliance with transportation laws. Riders are responsible for exercising reasonable judgment. MikeroManage does not conduct background checks or continuously monitor drivers unless expressly stated in a separate written agreement.
Location, route, arrival, queue, and status information may be delayed, incomplete, or inaccurate. A status such as “accepted,” “arriving,” or “arrived” is informational and does not guarantee physical presence or safety. You must not operate a device while driving in an unsafe or unlawful manner.
12. Messaging, Reports, and Blocking
Messaging is intended for authorized organization communication and is not guaranteed to be private from intended recipients, organization administrators acting within their authority, or review following a report. Recipients may copy or redistribute content. Do not transmit credentials, full payment-card information, government identification numbers, or unnecessary sensitive information.
Users may report content and block other users. Blocking may limit specified interactions but may not eliminate contact in shared groups, organization records, safety workflows, or offline settings. We may review reported content and relevant context, preserve evidence, restrict content, warn users, or suspend accounts.
13. Recruitment and Governance
Recruitment and voting features are tools for organization-controlled processes. MikeroManage does not select members, issue bids, determine eligibility, certify elections, guarantee anonymity, resolve parliamentary disputes, or endorse organization decisions.
Organizations and users must ensure that notes, ratings, decisions, eligibility rules, votes, and communications comply with anti-discrimination, privacy, education, association, and other applicable laws. Do not enter defamatory, unlawfully obtained, irrelevant, or excessively sensitive information.
No vote should be described as anonymous unless the organization has confirmed that its configuration, exports, logs, and access permissions support that representation.
14. User Content
“User Content” includes messages, profiles, photos, images, captions, attachments, reports, comments, tasks, notes, recruitment information, votes, event details, party-list information, alumni content, feedback, and other materials submitted through the Services.
You retain ownership of rights you hold in User Content. You grant MikeroManage a worldwide, nonexclusive, royalty-free license to host, store, reproduce, transmit, display, format, adapt, and otherwise process User Content solely as reasonably necessary to operate, secure, provide, support, improve, and enforce the Services and comply with law. This license continues for copies reasonably retained in backups, reports, legal records, or systems after deletion, subject to our Privacy Policy.
You represent and warrant that you have all rights and permissions necessary to submit User Content; the content is accurate where accuracy is material; and our permitted processing will not violate law or another person’s rights.
15. Content Standards and Moderation
User Content must not infringe intellectual property, privacy, publicity, confidentiality, or contractual rights; depict or facilitate child exploitation; contain credible threats; encourage self-harm or violence; facilitate crime; constitute unlawful harassment or discrimination; contain malicious code; or be materially deceptive in a manner likely to harm others.
We may—but are not obligated to—review, restrict, move, preserve, remove, or disclose content; place content in a moderation case; or limit an account when we reasonably believe action is appropriate. Moderation is imperfect. Failure to remove content does not endorse it, and removal does not establish wrongdoing.
16. Intellectual Property
The Services, including software, visual design, interfaces, text, graphics, logos, trademarks, compilation, and non-user content, are owned by or licensed to MikeroManage and protected by intellectual-property laws. “MikeroManage” and associated branding may not be used without permission except for truthful reference to the Services.
Feedback may be used by MikeroManage without restriction or compensation, provided we do not publicly identify you as its source without permission.
17. Copyright Complaints
If you believe content infringes your copyright, send a notice to support@mikeromanage.net containing identification of the copyrighted work; identification and location of the allegedly infringing material; your contact information; a good-faith statement; a statement under penalty of perjury that the information is accurate and you are authorized to act; and your physical or electronic signature.
We may remove content and terminate repeat infringers where appropriate. Knowingly submitting a materially false complaint may create liability.
18. Privacy
Our Privacy Policy explains how MikeroManage handles personal information and is incorporated into these Terms by reference. Organization administrators may separately control organization information. You are responsible for reviewing notices and obtaining permissions required before submitting information about another person.
19. Third-Party Services
The Services may rely on or link to third-party payment, hosting, storage, email, notification, mapping, weather, device-platform, or other services. Third-party services are governed by their own terms and policies. We do not control and are not responsible for third-party services, content, availability, decisions, or security, except to the extent applicable law provides otherwise.
20. Subscriptions, Trials, and Billing
Organization subscriptions may be sold by member tier, plan, quantity, or other metric. Prices, included features, trial periods, renewal terms, and billing frequency are disclosed during checkout or in an order form.
Unless stated otherwise, subscriptions renew automatically for successive periods until canceled. The organization authorizes applicable recurring charges, taxes, and approved quantity changes. Prices may change on advance notice as required by law. Continued use after a price change takes effect constitutes acceptance where permitted.
Trial access may end or convert to a paid subscription according to checkout terms. We may limit features or access when checkout is incomplete, a trial expires, payment fails, a subscription is canceled, or the account is delinquent. Restoring payment does not guarantee restoration of deleted data.
Payments are processed by a third-party provider. You agree to provide accurate billing information and comply with that provider’s terms. MikeroManage does not directly store full payment-card credentials.
21. Cancellation and Refunds
Authorized organization administrators may cancel through available billing tools or by contacting support. Cancellation ordinarily takes effect at the end of the current paid period unless checkout terms, an order form, or law states otherwise.
Fees are nonrefundable except where required by law or expressly stated in writing. We do not provide credits for partial periods, unused accounts, organization decisions, feature nonuse, or failure to cancel before renewal unless required by law.
Removing the app, deleting an individual member account, or ceasing use does not automatically cancel an organization subscription.
22. Taxes
Prices may exclude taxes. You are responsible for applicable sales, use, value-added, withholding, and similar taxes other than taxes based on MikeroManage’s net income. If exemption is claimed, valid documentation must be provided before billing when required.
23. Suspension and Termination
We may suspend, restrict, or terminate access, remove content, or disable an organization when reasonably necessary to address nonpayment, legal requirements, safety concerns, security risks, abuse, infringement, fraud, violation of these Terms, or material harm to the Services or others.
Where appropriate, we may provide notice and an opportunity to cure, but immediate action may be taken when delay could create risk. Organization administrators may separately suspend or remove users under their own authority.
You may stop using the Services at any time. Individual account deletion is available through supported functionality, subject to legal and organization-controlled records described in the Privacy Policy. Termination ends the license but does not eliminate accrued payment obligations or provisions intended to survive.
24. Data Export and Service Closure
Authorized administrators may have access to exports. The organization is responsible for protecting exported information. We may provide a reasonable opportunity to retrieve eligible organization data after termination, but are not obligated to retain it indefinitely. Data may be deleted, deidentified, or retained as described in the Privacy Policy and applicable order terms.
25. Availability and Changes
We strive to provide reliable Services but do not guarantee uninterrupted, error-free, or permanent availability. Maintenance, outages, provider failures, emergencies, security events, demand, legal requirements, or technical changes may interrupt access.
We may modify or discontinue features. If a change materially reduces paid core functionality during a current term, an organization’s exclusive contractual remedy is to contact us for a reasonable resolution, which may include a workaround, service credit, or prospective cancellation where appropriate and required by the applicable order.
26. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” MIKEROMANAGE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, AND RESULTS.
We do not warrant that records, locations, routes, attendance results, safety alerts, communications, votes, reports, exports, billing status, or other information will always be accurate, complete, timely, secure, or available. No statement creates a warranty unless expressly included in a signed agreement.
Some jurisdictions do not permit certain disclaimers, so portions may not apply to you.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIKEROMANAGE AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, GOODWILL, OPPORTUNITY, OR DATA; BUSINESS INTERRUPTION; PERSONAL DECISIONS MADE BY AN ORGANIZATION; OR COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF MIKEROMANAGE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID TO MIKEROMANAGE FOR THE AFFECTED SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS.
These limitations allocate risk and are a basis of the bargain. They do not limit liability that cannot lawfully be limited, including where applicable for willful misconduct, fraud, or certain personal injury.
28. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless MikeroManage and its affiliates, personnel, and providers from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use; User Content; violation of these Terms; infringement of rights; organization events, transportation, recruitment, voting, or administrative decisions; or misuse of exports, personal information, safety features, or location data.
This obligation does not apply to the extent a claim results from MikeroManage’s own conduct for which indemnification cannot lawfully be required. We may control the defense and settlement of an indemnified claim, and you agree to cooperate. We will not settle a claim imposing a nonmonetary obligation on you without consent not unreasonably withheld.
29. Governing Law and Venue
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles, except where federal law or a nonwaivable consumer law applies.
Any judicial action arising from or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Fulton County, Georgia, and each party consents to personal jurisdiction and venue there. Nothing prevents either party from seeking temporary or injunctive relief in a court of competent jurisdiction to protect security, confidential information, or intellectual-property rights.
30. Informal Dispute Resolution
Before filing a claim, you and MikeroManage agree to attempt in good faith to resolve the dispute by written notice describing the claimant, relevant account or organization, facts, requested relief, and contact information. Send notice to support@mikeromanage.net and the mailing address below. The receiving party will have 30 days to respond before litigation is initiated, unless immediate injunctive relief or a filing deadline makes waiting unreasonable.
These Terms do not require arbitration and do not waive rights to which a party is entitled under applicable law.
31. Export and Legal Compliance
You represent that you are not prohibited from receiving U.S. services or software and will comply with export-control, sanctions, anti-corruption, privacy, communications, transportation, education, alcohol, event, and other laws applicable to your use.
32. Electronic Communications
You consent to receive agreements, disclosures, notices, receipts, and other communications electronically. Electronic communications satisfy legal writing requirements where permitted. You are responsible for maintaining a current email address and retaining copies for your records.
33. Changes to These Terms
We may update these Terms for legal, security, operational, or product reasons. We will post the revised version and update the effective date. For material changes, we may provide additional notice. Changes apply prospectively when posted or on the stated effective date. If you do not agree, you must stop using the Services and cancel applicable renewal before the change takes effect, subject to existing payment obligations.
34. General Terms
These Terms, the Privacy Policy, applicable order forms, and any expressly incorporated additional terms form the entire agreement regarding the Services and supersede prior discussions on that subject. An order form controls over these Terms only where it expressly identifies the conflicting provision.
You may not assign these Terms without written consent. MikeroManage may assign them in connection with a merger, reorganization, financing, sale of assets, or by operation of law. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective. Headings are for convenience. “Including” means “including without limitation.” No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created.
Provisions concerning licenses, ownership, payment, content, privacy, disclaimers, liability, indemnification, disputes, and general interpretation survive termination as necessary to give them effect.
